Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and ComplianceKit.ie (“we”, “us”, “our”) governing your access to and use of the ComplianceKit.ie website and GDPR compliance platform (the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

ComplianceKit.ie provides a software-as-a-service (SaaS) platform that helps Irish businesses with GDPR compliance, including:

  • GDPR compliance assessment and scoring
  • Policy and document template generation
  • Compliance checklists and action plans
  • Compliance monitoring and alerts
  • Audit logging
  • Educational resources and guides

3. Important Disclaimer — Not Legal Advice

The Service does not constitute legal advice. ComplianceKit.ie provides tools, templates, and educational guidance to help you understand and work towards GDPR compliance. Our tools are not a substitute for professional legal counsel.

We strongly recommend that you consult a qualified solicitor or data protection practitioner for advice specific to your business circumstances. We do not guarantee that use of the Service will make you fully GDPR compliant.

4. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • You must be at least 18 years old and have the legal capacity to enter into these Terms.
  • One person or entity may not maintain more than one free account.

5. Subscription Plans and Payments

5.1 Free Plan

The free plan provides limited access to the Service at no cost. We reserve the right to modify free plan features at any time.

5.2 Paid Plans

  • Paid subscriptions are billed monthly or annually, as selected at checkout.
  • Payments are processed securely via Stripe. By subscribing, you also agree to Stripe’s Terms of Service.
  • All prices are listed in Euro (€) and are inclusive of VAT where applicable.
  • Subscriptions auto-renew unless cancelled before the next billing date.

5.3 Price Changes

We may change subscription prices with at least 30 days’ written notice. Price changes take effect at the start of your next billing cycle after the notice period.

6. Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings or by emailing us.
  • Cancellation takes effect at the end of your current billing period. You retain access until then.
  • 14-day cooling-off period: Under the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013 (S.I. No. 484/2013), consumer customers may cancel within 14 days of purchase for a full refund, provided you have not substantially used the Service during that period.
  • Refunds outside the cooling-off period are at our discretion.
  • No refund is provided for partial billing periods.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the Service or its systems.
  • Interfere with or disrupt the Service’s infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers) to access the Service without our written consent.
  • Resell, sublicense, or redistribute the Service or generated content to third parties as a competing service.
  • Upload malicious code, viruses, or harmful content.
  • Misrepresent your identity or impersonate others.

8. Intellectual Property

8.1 Our IP

The Service, including its design, code, branding, logos, and content (excluding user-generated content), is owned by ComplianceKit.ie and protected by Irish and international copyright, trademark, and intellectual property laws.

8.2 Your Content

You retain ownership of all data and content you input into the Service. By using the Service, you grant us a limited licence to process your content solely to provide and improve the Service.

8.3 Generated Documents

Policy documents and compliance materials generated by the Service are created for your use. You may use, modify, and distribute generated documents within your organisation. You may not resell generated templates as a competing product.

9. Data Protection

We process your personal data in accordance with our Privacy Policy and applicable data protection law. Where we process personal data on your behalf (as a data processor), the terms of our Data Processing Agreement apply.

10. Service Availability

  • We aim to keep the Service available 24/7 but do not guarantee uninterrupted access.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

11. Limitation of Liability

To the maximum extent permitted by Irish law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will meet your specific requirements or that it will be error-free, secure, or uninterrupted.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.
  • Our total aggregate liability for any claims arising from your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.

12. Indemnification

You agree to indemnify and hold harmless ComplianceKit.ie and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any law or third-party rights.

13. Termination

  • We may suspend or terminate your access to the Service at any time if you breach these Terms, with notice where practicable.
  • Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be deleted.
  • Provisions that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property) will survive.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

Nothing in these Terms affects your statutory rights as a consumer under Irish or EU law, including the European Union (Consumer Rights) Regulations.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ComplianceKit.ie regarding the Service.
